Article 1 - Definitions

In These conditions shall apply

  1. Time of reflection: the time in which the customer can use his right of withdrawal.
  2. Customer: The natural person not acting in the exercise of professional business and has a distance contract with the Panara B.V.
  3. Day: Calendar day
  4. Length of transaction: a distance contract concerning a range of products and/or services, the supply and/ or purchase is spread over time.
  5. Durable medium: any means that the customer or business uses that enables information addressed personally to him to store in a way that future consultation and unaltered reproduction of stored information is possible
  6. Right of withdrawal: the ability for the customer to waive the distance contract within the cooling-off period
  7. Entrepreneur: the natural person  or corporation that offers products/ or services to customers
  8. Remote agreement: An agreement in the framework of a created system organized for distance selling of products and services to conclude the agreement exclusive use of one or more means of distance communication.
  9. Technology for remote communication: means that can be used to conclude a contract, without the customer and trader being together in the same room

Article 3 - Relevance

  1. These general conditions apply to every offer of  Panara B.V. and any agreement reached at a distance between businesses and customers
  2. Before the distance contract is concluded, the text of these general conditions must be made available to the customer. If this is not reasonably possible, before the distance contract is concluded, it should be indicated that the general conditions are available for the customer to see and they will be send.
  3. If the distance contract is closed electronically, notwithstanding de previous paragraph, and before the agreement is closed, the text of these general terms and conditions can be made available via electronic ways, in such way the customer can store the information on a durable medium. If this is not reasonably possible, Panara B.V. shall, before the distance contract is closed, make sure that via electronic ways the customer can read them without any costs.
  4. The event that in addition to these terms and conditions specific product or service conditions apply, the second and third paragraphs shall apply and the customer in case of conflicting terms  can always rely on the applicable provision which for him is most favorable.

 

Article 4 – The offer

  1. If an offer has a limited duration or is subject to conditions, this will be explicitly stated in the offer.
    The offer includes a complete and accurate description of the products and / or services. The description is sufficiently detailed to allow a proper assessment of the offer by the customer. If Panara B.V. makes use of pictures they are true representation of the offered products.  Obvious mistakes or errors in the offer are not binding to Panara B.V.
    In case of a clear arguably technical error in the software system and/or a clear operation error with pricing in the web shop the offer is not valid and Panara B.V. can in this case cancel the purchase on their side. Misprints and errors reserved

 

Article 5 – The contract

  1. The agreement is subject to the provisions of paragraph 4, concluded at the time of the customer accepts the offer and meet the corresponding conditions.
  2. If the customer has accepted the offer electronically, Panara B.V.  shall immediately confirm electronic receipt of acceptance of the order. Until receipt of this acceptance has not been confirmed by the entrepreneur, the customer may rescind the contract.
  3. Panara B.V. shall send the following information together with the product or service, in writing or in any type which is accessible for the customer on a durable medium: the visiting address of Panara B.V. where the customer can go with complaints, the general terms in which the customer can read how he can use his or her right of withdrawal, the information about guarantees and possible service after purchase.

 

Article 6 – Right of withdrawal

  1. When purchasing products, the customer can cancel the contract without giving any reason within 14 days. This period commences on the date of receipt of the product by the customer or designated in advance by the customer and the entrepreneur announced representative.
  2. During this period the customer will treat the product and packaging with care. He will only unpack the product to the extent of use to the extent necessary to assess whether he wishes to keep the product. If he exercises his right of withdrawal, he shall return the product with all accessories and –return in its original condition and packaging to the operator, in accordance with the reasonable and clear instructions provided by the trader – as reasonable possible.

 

Article 7 – Costs in case of withdrawal

  1. In case the customer uses his right of withdrawal, at the least the costs for returning are for his costs.
  2. In case of the fact that the customer paid a certain amount, Panara B.V. will refund as soon as he can, however latest within 30 days after returning the goods or withdrawal.

 

Article 8 – Exclusion of right of withdrawal.

  1. Panara can exclude the right of withdrawal from the customer to the extent provided in paragraph 2. The exclusion of the right of withdrawal applies only if Panara puts this clearly in the offer, at least in time for the conclusion of the agreement, stated.Panara B.V. can exclude the right of withdrawal of the customer when the customer has not made contact in the time which is stated for that.
  2. Exclusion of the right of withdrawal is only for the following products:
  1. That has been produced by Panara BV agreed upon by the specifications of the customer.

 

Article 9 – The Price

  1. The prices of the goods and/or services shall not be increased during the time valid for the offer, only price increases due to VAT changes are allowed.
  2. Notwithstanding the preceding paragraph, Panara BV can offer products or services whose prices are subject to fluctuations in the financial market and where Panara BV has no influence on for the affects, at variable prices.  
  3. Price increases within 3 months after the conclusion of the contract are only allowed if they result from legislation or regulations and the contract has not finished yet.
  4. Price increases from 3 months after the conclusion of the contract are only allowed if Panara BV has stipulated this and:
  5. The prices mentioned in the offer of the product or services are inclusive VAT.
  1. These are the result of laws; or
  2. The customer has the right to terminate the agreement as of the date the increase takes effect.

 

Article 10 - Compliance and Warranty

  1. Panara B.V. warrants that the products and / or services meet the contract specifications stated in the offer, the reasonable requirements of reliability and / or usability and the existing legal provisions on the date of the conclusion of the agreement and / or government regulations. If agreed upon Panara BV will also state that the product is suited for other than normal use.
  2. A, by Panara B.V. appointed manufacturer or importer does not affect the legal rights and claims that the customer under the contract against Panara BV may assert.

 

Article 11 – Delivery and execution

  1. Panara shall exercise the greatest possible care when receiving and implementing orders for products and when assessing applications for the provision of services.
  2. The place of delivery is the address that the customer makes known to the company.
  3. All goods are delivered with Postnl. When the customer is not at home, and there is a notice from the packaging service, please follow all instructions mentioned to make sure that you can receive the goods. This may differ per each country.
  4. Subject to what is stated in Article 4 of these terms and conditions, by the company accepted orders will be taken care of with haste but not later than four working days unless a longer delivery has been agreed. If delivery is delayed or if an order cannot or only partially be delivered, the customer will receive news within 7 days after placing the order.
  5. In case of termination in compliance with the last paragraph Panara B.V. shall refund the amount paid by the customer as soon as possible, however within 30 days after termination.
  6. If delivery of a certain product is not possible, Panara BV shall do everything to find a replacement. Not later than the time of delivery shall be mentioned in a clear and understandable way that a replacement is delivered.  With replacement products the right of withdrawal cannot be excluded. The costs for certain returns are for Panara BV
  7. The risk of damages and-or missing of goods lies with Panara BV till the moment of delivery to the customer by the appointed packaging service, unless something different was agreed upon.

 

Article 12 - Duration transactions: duration, termination and renewal

Termination

  1. The customer that has an indefinite agreement and that is for frequent deliveries of products  (also electricity included) or services, can terminate at any time, keeping in mind the agreed upon rules and time for termination of a maximum of a month.
  2. The customer that has an definite agreement and that is for frequent deliveries of products  (also electricity included) or services, can terminate at any time, keeping in mind the agreed upon rules and time for termination of a maximum of a month.
  3. The customer can in case of above mentioned agreements:
  1. Cancel at any time and not be limited to termination at a particular time or in a given period;
  2. At least cancel the same way as they are entered by him;
  3. Cancel at the same notice as Panara BV has negotiated for itself.

Renewal

  1. A contract for a definite period, which extends to the regular delivery of products (including electricity) or services may not be automatically extended or renewed for a fixed period.
  2. Notwithstanding the previous paragraph an agreement of definite time and that is for regular delivery of daily-news and weekly papers, can be renewed silently for a certain time of a maximum of 3 months, and be denounced at the end of the renewal with a notice of at least a month.
  3. A contract closed for definite time and that is for regular delivery of products and services, can only be renewed silently for indefinite time if the customer is allowed to give notice at any time with a notice of at least a month and a notice of of 3 months maximum if the agreement is for regular, but less than once a month, delivery of daily-news and week papers and magazines.
  4. A contract for a definite period for regular delivery of newspapers, and magazine (trial or introductory subscription)  Cannot be renewed silently

Duration

  1. If a contract has duration of more than one year, the customer may withdraw or terminate after a year at any time with a notice of up to one month, unless the reasonableness and fairness against termination before the end of the agreed term resist.

 

Article 13 – Payment

  1. If not different agreed upon, the amount owed by the customer should be paid within 14 days after the start of the time of reflection as mentioned in Article 6, part 1. If the agreement is about delivery of a certain service, this term starts after the customer has received the confirmation.
  2. With the sales of products to customer, in the general terms and conditions it is never allowed to ask for a pre payment larger than 50%. If prepayment is agreed, the customer may not assert any rights regarding the implementation of the order or service (s) before the advance payment has been made. The customer has the duty to report inaccuracies in data supplied or specified payment immediately to Panara B.V.
  3. In case of non-payment, delay in payment or no payment at all from the customer, Panara B.V. has the right, within legal restrictions, to charge reasonable costs if made known before to the customer.

 

Article 14 - Complaints

  1. Panara B.V. has a clear and sufficient made known complaints procedure and deals according to this complaints procedure.
  2. Complaints about the execution of the agreement need to be lodged within good time, complete and clear described, with Panara B.V., after the customer has found the defects.
  3. Claims reported to Panara B.V. will be dealt with and handled within 14 days from the date of the receipt. If the complaint will take longer than foreseen, Panara B.V. shall send a response within 14 days with a message of receipt and an indication when the customer might be able to receive a more detailed reply.
  4. If the complaint cannot be resolved by mutual agreement then it is subject to a dispute arrangement.

 

Article 15 - Disputes

  1. On agreements between Panara B.V. and the customer to which these general terms and conditions apply, only exclusively Dutch law applies.

 

Article 16 – Additional or different terms

Additional or different provisions of these terms and conditions may not be of disadvantage to the customer and are to be recorded in writing or in any other form that makes it possible for the customer to save this in an accessible way on a durable medium.

The data that you provide Panara B.V. with via their websites, is handled with care and confidence. The data that you provide us with registration we safe in a file. When you make a purchase through our site, we register the orders based on the name. Your data are not given to third parties, only when necessary to execute your order, e.g. the postal service.
